The annual general meeting of OMV approved a total dividend of EUR 5.05 per eligible share for 2023, of which EUR 2.95 per share is a regular dividend and EUR 2.10 per share is a special dividend. In addition, all motions for the remaining agenda items, such as in particular the updated remuneration policy for the Supervisory Board, the remuneration report for the Executive Board and the Supervisory Board for 2023, elections to the Supervisory Board and changes to the Articles of Association, were approved.
Today’s Annual General Meeting approved a total dividend of EUR 5.05 per share. The payday is June 10, 2024. The annual financial statements approved by the Supervisory Board were presented. The members of the Board of Management and the Supervisory Board were discharged for their activities in the 2023 financial year. KPMG Austria GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, Vienna, was elected as the auditor and group auditor for the 2024 financial year.
The Annual General Meeting approved the updated remuneration policy for the Supervisory Board. The Annual General Meeting also approved the Long Term Incentive Plan 2024, a long-term compensation instrument for the members of the Executive Board and selected executives, and the Equity Deferral 2024, an integrated part of the annual bonus agreement for the members of the Executive Board.
Due to the expiry of the terms of office of four of the ten Supervisory Board members currently elected by the Annual General Meeting, each with effect from the end of the Annual General Meeting on May 28, 2024, four new Supervisory Board members were elected by the Annual General Meeting:
- Frau Dorothée Deuring
- Herr Patrick Lammers
- Herr Khaled Salmeen
- Herr Khaled Mohamed Alalkeem Al Zaabi
In addition, changes to the statutes were decided.
