The issuer/publisher is responsible for the content of the message. ════════════════════════════════════════ ══════════ ════════════════════════ Ad hoc announcement in accordance with Art Re-election of the chairwoman of the supervisory board, Dr. Margarete Haase from Premstätten, Austria and Munich, Germany (May 15, 2024) — ams OSRAM (SIX: AMS) has published the proposed resolutions of the Supervisory Board and Executive Board for the Annual General Meeting on June 14, 2024 on the company website. The term of office of the current chairwoman of the supervisory board, Dr. Margarete Haase and the supervisory board member Brigitte Ederer are running out this year and both are running for re-election. Accordingly, agenda item 6 contains the proposals for elections to the Supervisory Board. The term of office for both election proposals should last until the annual general meeting in 2028, i.e. approximately four years. The CVs of Dr. Haase and Ms. Ederer are also published on the company website. On December 7, 2023, ams OSRAM Group successfully completed its refinancing, including a rights issue and the issuance of new unsecured senior notes. As a result, the company’s share capital and the number of shares have increased significantly. Agenda item 7 therefore concerns the proposed resolution to reallocate the company’s share capital by means of a share split in a ratio of 10:1 (ten shares to one share), so that 10 (ten) existing shares of the company are combined to form 1 (one) share. In addition, the Conditional Capital 2023 after the subscription rights issue only corresponds to around 2.75% of the current share capital. This existing conditional capital and the existing authorization to issue financial instruments within the meaning of Section 174 AktG are to be repealed and a new conditional capital 2024 and a corresponding new authorization are to be approved so that in the future they will again be 10% (as before the subscription rights issue in 2023) of the current one correspond to the share capital of the company (agenda items 8 and 9). The relevant documents for the Annual General Meeting will be made available on the company website by May 24, 2024 at the latest.
